Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Waterfall Planning, LLC, a Florida limited liability company ("Waterfall Planning," "we," "us," or "our"). By accessing or using the Waterfall Planning website, application, and related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
The Service is intended for use by residents of the United States who are at least 18 years of age. By registering for or using the Service, you represent and warrant that: (a) you are a resident of the United States; (b) you are at least 18 years of age; (c) you have the legal capacity to enter into these Terms; and (d) your use of the Service does not violate any applicable law or regulation. We reserve the right to restrict access to users located outside the United States through geo-restriction technology or other means, and to refuse, suspend, or terminate service to anyone for any reason at our sole discretion.
3. Description of Service
Waterfall Planning provides self-directed financial planning tools designed to help users organize their personal finances. The Service may include, but is not limited to: budget creation and tracking tools; savings goal planning and progress tracking; a retirement visualizer with hypothetical portfolio projections and custom scenario modeling; a learning center with educational financial content; progress tracking features; and third-party resources, referral links, comparison tools, sponsored educational content, or partner offerings displayed within the Service. Waterfall Planning may receive compensation from third-party partners when users engage with these resources. The presence of third-party content does not constitute financial advice, an endorsement, or a recommendation of any product or service. The specific features available to you may depend on your subscription tier.
4. Important Disclaimers -- Not Financial, Investment, Tax, or Legal Advice
THE SERVICE IS A SELF-DIRECTED EDUCATIONAL AND PLANNING TOOL. WATERFALL PLANNING DOES NOT PROVIDE FINANCIAL ADVICE, INVESTMENT ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PERSONALIZED PROFESSIONAL ADVICE.
YOU SPECIFICALLY AND EXPRESSLY UNDERSTAND AND AGREE THAT ALL DISCLAIMERS CONTAINED HEREIN SHALL APPLY TO YOU AND YOUR RESPECTIVE CURRENT AND FUTURE HEIRS, SUCCESSORS, ASSIGNS, REPRESENTATIVES, ADVISORS, GUARDIANS, AGENTS AND AFFILIATES (EACH A "USER PARTY" AND COLLECTIVELY THE "USER PARTIES"), AND THAT ALL LIMITATIONS OF LIABILITY, RELEASES, WAIVERS, AND GOVERNING LAW, VENUE AND DISPUTE RESOLUTION PROVISIONS SHALL APPLY TO YOU AND ALL USER PARTIES.
Notwithstanding any information, content, projections, calculations, or outputs provided by the Service:
- Waterfall Planning is not a registered investment adviser, broker-dealer, financial planner, tax preparer, or insurance agent under federal or state law, including but not limited to the Investment Advisers Act of 1940, the Securities Act of 1933, or the Securities Exchange Act of 1934.
- No content, output, projection, calculation, or feature of the Service constitutes a recommendation, solicitation, or offer to buy or sell any security, investment product, insurance product, or financial instrument of any kind.
- The Service does not take into account your complete financial situation, risk tolerance, investment objectives, or any other personal circumstances that a licensed professional would consider before providing advice.
- All projections, calculations, and outputs generated by the Service are hypothetical in nature, based on assumptions and user-provided inputs, and are intended for informational and educational purposes only. They do not represent guarantees, predictions, or forecasts of future results.
- You should consult with a qualified financial advisor, tax professional, or attorney before making any financial, investment, tax, or legal decisions. Waterfall Planning expressly disclaims any responsibility for decisions you make based on the Service.
5. Tax Estimation Disclaimer
The Service includes estimated tax calculations for budgeting and retirement planning purposes. These estimates use progressive federal tax bracket calculations and state-level tax data derived from publicly available sources. However, these estimates are simplified approximations subject to the following limitations and disclaimers:
- Federal tax estimates use progressive bracket calculations based on published IRS tax brackets (or projections thereof) after applying the standard deduction for the selected filing status (single or married filing jointly). While these calculations apply each bracket rate progressively, they remain estimates and may not reflect your actual tax liability.
- State tax calculations use data derived from publicly available sources such as the Tax Foundation. For states with graduated income tax brackets, progressive calculations are applied. For flat-tax states, the applicable flat rate is used. Waterfall Planning does not guarantee the accuracy, completeness, or timeliness of any state tax rate data.
- Tax estimates do not account for: itemized deductions; tax credits (such as the Earned Income Tax Credit, Child Tax Credit, or education credits); Alternative Minimum Tax; Net Investment Income Tax; Self-Employment Tax; Medicare Tax Surcharge; FICA/payroll taxes; state or local tax deductions; capital gains tax rates (except where specifically modeled in the Retirement Visualizer); Required Minimum Distributions tax implications (except where specifically modeled in the Retirement Visualizer); Roth conversion tax implications; or any other tax provisions, exemptions, or special circumstances that may apply to your specific situation.
- The Service only supports two filing statuses: Single and Married Filing Jointly. Other filing statuses (Head of Household, Married Filing Separately, Qualifying Surviving Spouse) are not available and may result in materially different tax outcomes.
- Tax laws, brackets, and rates change frequently. The Service may not reflect the most current tax rates, brackets, deductions, or rules at any given time. Tax bracket data used in projections may be based on estimates or projections of future tax law and may differ from actual enacted rates.
There is no guarantee as to the accuracy or completeness of any tax estimate provided by the Service. You are solely responsible for determining the accuracy of any tax calculations and for filing your tax returns. Please consult a qualified tax professional for specific tax questions. Any tax-related information provided through the Service is not intended to be used, and cannot be relied upon, for the purpose of avoiding penalties imposed by the Internal Revenue Service, any state tax authority, or any other governmental body.
6. Retirement Visualizer and Scenario Modeling Disclaimers
The Retirement Visualizer and custom scenario modeling features provide only hypothetical projections or outcomes based entirely on user-provided inputs and simplified assumptions solely for illustrative purposes in accordance with your inputs. The following additional disclaimers apply:
- Projections use assumed rates of return (e.g., 4%, 6%, or 8% annual returns depending on selected risk profile or rate of return) that are hypothetical and do not represent the performance of any specific investment, fund, index, or strategy. Actual investment returns will vary and may be substantially different from the assumed rates.
- Inflation assumptions (e.g., 2-3% annually) are hypothetical and may not reflect actual future inflation rates.
- Projections do not account for: investment fees, fund expense ratios, or transaction costs; market volatility, drawdowns, or sequence-of-returns risk; changes in tax law or personal tax circumstances; changes in employment, income, or personal circumstances; healthcare costs, long-term care needs, or unexpected expenses; the impact of Required Minimum Distributions from retirement accounts; or estate taxes or inheritance considerations.
- Custom scenario features including income events, expense events, asset purchases and sales, equity events (RSU vesting, inheritance, business sales), and annuity modeling use simplified calculations that may not reflect the actual financial, tax, or legal implications of such events.
- Social Security benefit estimates are based on user-provided inputs and do not represent actual benefits you may receive from the Social Security Administration. Actual benefits depend on your earnings history, claiming age, and applicable laws.
- Pension income estimates are based on user-provided inputs and may not reflect actual pension benefits, cost-of-living adjustments, or plan-specific provisions.
- Past performance of any investment, index, or strategy is not indicative of future results. Investing involves risk, including the potential loss of principal.
7. User Accounts and Responsibilities
To access certain features of the Service, you must create an account. With regard to your account, you agree on behalf of you and each User Party to:
- Provide accurate, current, and complete information during registration and when using the Service.
- Maintain the security and confidentiality of your account credentials and not share your login information with any third party, or permit any third party to use or access your account or acquiesce thereto.
- Notify us immediately of any unauthorized access or use of your account.
- Accept sole responsibility for all activity, lack of activity, input errors and omissions that occur under or relating to your account, and be responsible for the breach or violation of these Terms by any User Party relating to or arising out of your account.
- Use the Service only for lawful purposes and in accordance with these Terms.
- Not access or attempt to access another user's account, data, or any non-public areas of the Service.
- Not use or attempt to use the Service to transmit any harmful, offensive, or illegal content.
- Not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
- Not use or attempt to use automated means (bots, scrapers, etc.) to access or collect data from the Service.
8. Subscriptions, Payments, and Refunds
Access to certain features of the Service requires a paid subscription. The following terms apply to subscriptions:
- Subscription plans may include individual quarterly, individual annual, and organizational plans. Pricing and available plans are displayed on the pricing page and may change at any time with notice.
- All payments are processed securely through Stripe, Inc. ("Stripe"). By making a payment, you also agree to Stripe's terms of service. Waterfall Planning does not directly store your credit card or payment card information.
- Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
- Refunds are handled on a case-by-case basis at our sole discretion. Please contact [email protected] for refund requests.
- We reserve the right to change subscription pricing with reasonable advance notice. Price changes will apply to the next billing cycle following the notice period.
9. Organizational Accounts
Organizations may purchase subscriptions that provide access to the Service for their employees or members, each of whom must individually agree to these Terms in order to create an account. The organization administrator who purchases the subscription ("Admin") agrees that: (a) they have authority to bind the organization to these Terms; (b) they are responsible for managing user access through invite codes provided by the Service; (c) each user accessing the Service through an organizational account must individually agree to these Terms and the Privacy Policy; and (d) the organization is responsible for payment of all seats purchased. Organizational accounts do not create any employer-employee, agency, or fiduciary relationship between Waterfall Planning and any organization or its members. The Service may be offered to organizations under co-branded, white-label, or licensed arrangements. In such cases, the organization may apply its own branding to the Service interface, but all Service functionality, data handling, privacy protections, and these Terms remain in full effect regardless of branding.
10. Email Communications
By creating an account, you agree to receive transactional emails related to your account (such as registration confirmation, password resets, and subscription notifications). You may also receive promotional and educational emails from Waterfall Planning. You may opt out of promotional emails at any time by using the unsubscribe link included in each email or by updating your preferences in your account settings. Opting out of promotional emails does not affect transactional emails necessary for the operation of your account. All emails comply with the CAN-SPAM Act.
11. Intellectual Property
All content, features, functionality, designs, text, graphics, logos, icons, software, and other materials available through the Service (collectively, "Content") are the exclusive property of Waterfall Planning, LLC or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent, except as incidental to normal use of the Service for its intended purpose.
12. User Data Ownership
You retain ownership of all personally identifiable financial data, personal information, and other content you input into the Service ("User Data"). By using the Service, you grant Waterfall Planning a limited, non-exclusive license to use, process, and store your User Data solely for the purpose of providing the Service to you. We do not claim ownership of your User Data, and we do not sell your User Data to third parties. Upon account deletion, your personally identifiable User Data will be removed from active systems. We may retain anonymized or aggregated data for internal analysis and service improvement, and may retain records as required by law or as necessary to defend against legal claims, in accordance with our Privacy Policy.
13. Accuracy of Information and User Inputs
The Service relies on information and data you provide. Waterfall Planning does not independently verify the accuracy, completeness, or timeliness of any information you input. All outputs, projections, and calculations generated by the Service are only as accurate as the inputs you provide. You acknowledge and agree that: (a) you are solely responsible for the accuracy of the data you enter; (b) inaccurate inputs will result in inaccurate outputs; and (c) Waterfall Planning bears no responsibility for any decisions or actions you take based on projections or outputs derived from the Service, whether with regard to accurate, inaccurate, incomplete or outdated inputs, or otherwise.
14. Third-Party Services, Partner Content, and Links
The Service may contain links to third-party websites, services, or resources, including but not limited to Stripe for payment processing, hCAPTCHA for security verification, external educational resources, financial product comparison tools, advisor matching or referral services, savings account or insurance comparison platforms, affiliate partner links, and sponsored content. Waterfall Planning may receive compensation from third-party partners when you click on, engage with, sign up for, or purchase products or services through these links or resources. These third-party services are not under our control, and we are not responsible for their content, privacy practices, availability, or the quality of their products or services. Your use of third-party services is governed by their respective terms and policies. The inclusion of any third-party link, resource, or partner content within the Service does not constitute financial advice, an endorsement, a recommendation, or a guarantee of any third-party product, service, or provider. You should independently evaluate any third-party product or service before engaging with it.
15. Learning Center, Educational Content, and Sponsored Content
The Service may include a learning center with articles, guides, and other educational content on financial topics. Some educational content may be sponsored by or presented in partnership with third-party financial services companies. Sponsored content will be identified as such where applicable. Waterfall Planning may receive compensation from sponsors of educational content. Regardless of sponsorship, all educational content is provided for general informational and educational purposes only. It does not constitute financial, investment, tax, or legal advice and should not be relied upon as a substitute for professional consultation. Sponsorship of educational content does not constitute an endorsement or recommendation of the sponsor's products or services. Educational content may reference general financial concepts, regulatory information, or account types (such as HSAs, FSAs, IRAs, or 401(k) plans) but does not account for your individual circumstances. Information may become outdated as laws, regulations, and financial products change. Waterfall Planning makes no representation or warranty as to the accuracy, completeness, or timeliness of any educational content.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
YOU, ON BEHALF OF YOURSELF AND ALL USER PARTIES, EXPRESSLY UNDERSTAND AND AGREE THAT WATERFALL PLANNING AND ITS OWNERS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, ADVISORS, REPRESENTATIVES, AGENTS, AND AFFILIATES (COLLECTIVELY, THE "WATERFALL PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, OR ANY OTHER REASON ARISING OUT OF OR RELATED TO THE SERVICE OR WATERFALL PLANNING, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF THE WATERFALL PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, THE WATERFALL PARTIES SHALL NOT BE LIABLE FOR:
- Any financial losses, investment losses, tax penalties, or other monetary damages resulting from your use of the Service or reliance on any information, projection, calculation, or output provided by the Service.
- Any decisions you make or actions you take based on the Service, including but not limited to investment decisions, retirement planning decisions, savings allocation decisions, asset purchase or sale decisions, or tax planning decisions.
- Inaccuracies in the data you provide, the assumptions used in calculations, or the projections generated by the Service, including tax estimates, retirement projections, and scenario modeling outputs.
- Service interruptions, errors, bugs, data loss, unauthorized access to your account, or any other technical issues.
- Actions or omissions of third-party service providers, including but not limited to Stripe, hCAPTCHA, hosting providers, or any linked resources.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE WATERFALL PARTIES TO YOU AND THE USER PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO WATERFALL PLANNING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
17. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE WATERFALL PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
18. Indemnification
You and the User Parties agree to indemnify, defend, and hold harmless each of the Waterfall Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including, without limitation, reasonable attorneys' fees and costs, and dispute resolution costs) arising out of or related to: (a) your account or use of or access to the Service; (b) your or a User Party's violation of these Terms; (c) your violation of any applicable law or regulation; (d) any financial, investment, tax, or other decisions you make based on your account or the Service; (e) any content or data input into your account or that you submit to the Service; or (f) your infringement of any third-party rights.
19. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for any reason, including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; use of the Service from outside the United States; non-payment of subscription fees; or conduct that we determine, in our sole discretion, may harm Waterfall Planning, its users, or third parties. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately, and we may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive.
20. Dispute Resolution, Governing Law, and Binding Arbitration
These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions. Except as otherwise specifically provided herein, exclusive jurisdiction and venue with regard to any dispute or claim hereunder or otherwise relating to the Service shall be the state or federal courts located in Duval County, Florida.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
20.1 Agreement to Arbitrate. You (on behalf of yourself and each of the User Parties) and Waterfall Planning agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Waterfall Planning (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that: (a) either party may assert claims in small claims court in Duval County, Florida if the claims qualify and remain on an individual basis; and (b) either party may seek equitable relief in court for infringement or misuse of intellectual property rights. This arbitration agreement shall apply to all Disputes, including those that arose before these Terms or any prior agreement.
20.2 Arbitration Rules and Procedures. Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. To initiate arbitration, you must send a written notice describing your claim to: Waterfall Planning, LLC, c/o Northwest Registered Agent LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702. The arbitration will take place in Duval County, Florida, unless you and Waterfall Planning agree otherwise. Payment of all filing, administration, and arbitration fees will be governed by the AAA's rules.
20.3 Arbitrator Authority. The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether any claim is subject to arbitration. The arbitrator may award the same damages and relief on an individual basis that a court could award, including monetary damages, injunctive relief, and declaratory relief. The arbitrator must follow these Terms and issue a written decision with findings and conclusions supporting the award. The arbitrator's decision is final and binding on both parties.
20.4 Waiver of Jury Trial. YOU (ON BEHALF OF YOURSELF AND EACH OF THE USER PARTIES) AND WATERFALL PLANNING EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND TO HAVE A TRIAL BY JURY. You (on behalf of yourself and each of the User Parties) and Waterfall Planning are instead electing to have all Disputes resolved by arbitration. In any litigation over whether to vacate or enforce an arbitration award, you (on behalf of yourself and each of the User Parties) and Waterfall Planning waive all rights to a jury trial and elect instead to have the dispute resolved by a judge.
20.5 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and Waterfall Planning agree that any Dispute shall be resolved exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction and venue of such courts.
20.6 Statute of Limitations. You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
21. Class Action and Representative Action Waiver
YOU AND WATERFALL PLANNING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. Unless both you and Waterfall Planning agree otherwise in writing, the arbitrator may not consolidate or join more than one person's or party's claims and may not preside over any form of a class, collective, consolidated, or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement in Section 20 shall be null and void, and any Disputes shall proceed in a court of competent jurisdiction in Duval County, Florida.
22. Release of Claims
YOU AND EACH OF THE USER PARTIES HEREBY RELEASE, REMISE, AND FOREVER DISCHARGE EACH OF THE WATERFALL PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE WHATSOEVER, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER ARISE FROM, RELATE TO, OR ARE CONNECTED WITH YOUR USE OF THE SERVICE. THIS RELEASE INCLUDES, WITHOUT LIMITATION, ANY CLAIMS ARISING FROM OR RELATED TO ANY FINANCIAL, INVESTMENT, TAX, OR RETIREMENT PLANNING DECISIONS YOU MAKE BASED ON INFORMATION, PROJECTIONS, CALCULATIONS, OR OTHER OUTPUTS PROVIDED BY THE SERVICE.
23. Modification or Discontinuation of Service
Waterfall Planning reserves the right at any time and from time to time to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice. You agree that Waterfall Planning shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service. In the event of a permanent discontinuation of the Service, Waterfall Planning will make reasonable efforts to provide advance notice to active subscribers and will issue prorated refunds for any prepaid subscription fees covering the period after discontinuation, at its sole discretion.
24. Assignment
Waterfall Planning may assign or transfer these Terms, and any rights and licenses granted hereunder, to a third party without restriction or notification. You may not assign or transfer these Terms, your account, or any rights or obligations hereunder without the prior written consent of Waterfall Planning. Any purported assignment in violation of this section shall be null and void.
25. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.
26. Entire Agreement
These Terms, together with the Privacy Policy and any subscription agreement or organizational order form, constitute the entire agreement between you and Waterfall Planning regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, regarding the subject matter hereof.
27. Waiver
The failure of Waterfall Planning to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized member or manager of Waterfall Planning.
28. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service with a new effective date and, where practicable, by sending notice to the email address associated with your account. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
